Students in the Clinic for Law and Entrepreneurship (CFLE) provide direct representation to entrepreneurs, small businesses, and social ventures from the Philadelphia region. With support, supervision and individualized mentoring from faculty, students are vested with primary responsibility for advising both for-profit and non-profit enterprises on a diverse array of challenges common to launching, operating and growing sustainable businesses. CFLE student counselors can expect to assist up to three clients each semester with matters that may range from structuring entities for their businesses, documenting the relationship between founders, drafting, reviewing and negotiating an array of contracts used and encountered in their businesses, advising on website terms of use, protecting and leveraging intellectual property, and structuring relationships with employees and independent contractors, among others. The CFLE does not litigate on behalf of its clients.
