Walter Greiner is a tax attorney for KPMG in Philadelphia, and has advised companies on various U.S. federal income tax issues related to restructurings, mergers and acquisitions, and spin-offs. Walter has experience with various industries, including real estate, financial services, manufacturing and pharmaceuticals. Walt has also taught various internal and external technical training sessions on such topics as taxable acquisitions, tax-free reorganizations, IRC section 382 limitations, purchase accounting, tax research, and S-corporations. He has provided technical assistance with respect to the following areas: drafting opinions and memoranda on U.S. federal income tax issues related to corporate restructurings; performing U.S. federal income tax due diligence; assisting troubled corporations with analysis of cancellation of debt income, worthless stock and bad debt deductions, and computing limitations on tax attributes pursuant to IRC sections 382 and 383. Additionally, Walter has assisted in conducting studies of tax basis and earnings and profits, analyzing the deductibility of costs related to acquisitive transactions, and advising on elections pursuant to IRC sections 338 and 336(e). Walt has also performed a two-year rotation with KPMG’s Washington National Tax corporate tax group in Washington D.C.
